Perillo Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FlowTrace and related websites, software, and services provided by Perillo, Inc. (“Perillo,” “we,” “us,” or “our”).

By creating an account, downloading or activating the Software, accessing the Services, or otherwise using FlowTrace, you agree to these Terms. If you do not agree to these Terms, do not use FlowTrace.

If you use FlowTrace on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes that organization.

You must be at least 18 years old and legally capable of entering into a binding contract to use FlowTrace.

1. FlowTrace

FlowTrace is a developer tool that analyzes software repositories and code changes and provides information about their potential structural impact.

For purposes of these Terms:

  • “Software” means the downloadable FlowTrace software, including the FlowTrace binary, local viewer, updates, and related components that Perillo makes available for installation on your devices.
  • “Services” means Perillo’s hosted FlowTrace services, website, account services, and related online functionality.
  • “FlowTrace” means the Software and Services collectively.
  • “Your Code” means source code, configuration files, repository contents, commit information, and related materials that you analyze using the Software or make available to the Services.
  • “Output” means analyses, reports, dependency information, visualizations, and other results generated through FlowTrace.

We may add, remove, or change FlowTrace features over time.

2. Account Registration

Some or all FlowTrace features require a Perillo account.

You agree to provide accurate and current account information and to keep your login credentials secure. You are responsible for activity occurring through your account unless caused by circumstances outside your reasonable control.

You may not:

  • impersonate another person or organization;
  • create an account using false information;
  • share account credentials in a manner inconsistent with your plan;
  • circumvent account, licensing, or access restrictions; or
  • use another person’s account without permission.

Please notify us at support@perillo.ai if you believe your account has been compromised.

We may refuse registration or suspend or terminate an account as permitted by these Terms.

3. Software License

Subject to these Terms, Perillo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you control for your own internal software development and related business purposes.

The Software is licensed, not sold.

Except where applicable law gives you a right that cannot be restricted, you may not:

  • copy or redistribute the Software except as necessary for permitted use;
  • sell, rent, lease, sublicense, or commercially distribute the Software;
  • reverse engineer, decompile, or disassemble the Software or attempt to derive its source code;
  • modify the Software or create derivative works based on it;
  • remove proprietary notices;
  • circumvent licensing, authentication, usage, or security mechanisms; or
  • use the Software to gain unauthorized access to Perillo systems or third-party systems.

Open-source components included with the Software remain subject to their applicable open-source licenses.

We may make updates available from time to time. Certain updates may be required for continued use of the Software.

The Software may communicate with Perillo systems for account activation, licensing, updates, security, diagnostics, telemetry, and related operational purposes as described in our Privacy Policy. Where Perillo provides a mechanism to disable optional telemetry, you may use that mechanism.

4. Your Code

You retain ownership of Your Code.

These Terms do not transfer ownership of Your Code to Perillo.

When you make Your Code available to the Services, you grant Perillo a limited, worldwide, non-exclusive license to access, copy, transmit, process, and otherwise use Your Code only as reasonably necessary to:

  • provide FlowTrace to you;
  • generate and deliver Output;
  • maintain, secure, troubleshoot, and support FlowTrace;
  • prevent fraud, abuse, or security incidents; and
  • comply with applicable law.

This license includes the right to allow Perillo’s contractors and service providers to process Your Code on our behalf where necessary to provide FlowTrace.

You represent that you have the rights and permissions necessary to use Your Code with FlowTrace. This includes any permission required from an employer, client, repository owner, or other rights holder.

Perillo does not use Your Code to train or fine-tune machine learning models.

Our handling of Your Code and related information is further described in our Privacy Policy.

5. Output

As between you and Perillo, you may use Output generated from Your Code for your own purposes, subject to any rights of third parties.

To the extent Perillo owns any copyright or similar rights specifically in Output generated for you from Your Code, Perillo grants you all rights necessary to use that Output.

Output may not be unique. Other users may receive similar or identical results based on their own repositories or inputs.

FlowTrace uses automated analysis and may use artificial intelligence systems. Output may therefore contain errors, omissions, incorrect conclusions, or incomplete information.

You are responsible for reviewing Output before relying on it.

FlowTrace is not a substitute for source-code review, testing, security review, deployment controls, or professional engineering judgment. You remain responsible for decisions concerning your code, including whether to modify, merge, release, or deploy it.

6. Connected Accounts and Third-Party Services

FlowTrace may allow you to connect accounts or services operated by third parties, such as source-code hosting providers.

By connecting a third-party account, you authorize Perillo to access information made available through that account to the extent necessary to provide FlowTrace.

You are responsible for choosing which accounts and repositories you connect and for ensuring that you have authority to grant Perillo access to them.

Your relationship with a third-party account provider remains subject to that provider’s own terms and policies.

You may generally revoke Perillo’s access through FlowTrace or through the applicable third-party provider.

FlowTrace may also rely on third-party infrastructure, cloud services, artificial intelligence providers, payment processors, analytics providers, and other vendors.

Some portions of Your Code may be processed by third-party model providers when necessary to generate Output through the Services. Perillo requires model providers that receive Your Code on our behalf not to use Your Code to train their models.

Current service providers and subprocessors that receive relevant customer information may be identified in our Privacy Policy or at https://www.perillo.ai/subprocessors.

We are not responsible for third-party products or services that you independently choose to connect to or use with FlowTrace.

7. Perillo Intellectual Property

Except for Your Code and other materials you own, Perillo and its licensors own FlowTrace and all associated intellectual property rights.

This includes, as applicable:

  • the Software;
  • the Services;
  • the FlowTrace website;
  • Perillo and FlowTrace names and trademarks;
  • user interfaces;
  • documentation;
  • software and source code;
  • analysis methods and technology; and
  • designs, graphics, and other content created by Perillo.

These Terms do not give you ownership of FlowTrace or Perillo intellectual property.

Unless we expressly permit it, you may not reproduce, distribute, modify, sell, license, or commercially exploit Perillo materials outside your permitted use of FlowTrace.

If you provide suggestions, ideas, feature requests, or other feedback about FlowTrace, you grant Perillo a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation to you.

8. Acceptable Use

You may use FlowTrace only for lawful purposes and in accordance with these Terms.

You agree not to:

  • analyze repositories, systems, or code you do not have permission to access or analyze;
  • use FlowTrace in violation of applicable law or another person’s rights;
  • infringe intellectual property, privacy, confidentiality, or other rights;
  • upload, introduce, or transmit malware or malicious code to Perillo systems;
  • probe, scan, test, or exploit vulnerabilities in Perillo systems without authorization;
  • interfere with or disrupt FlowTrace or infrastructure used to provide it;
  • bypass rate limits, authentication systems, licensing controls, or access restrictions;
  • obtain or attempt to obtain unauthorized access to another user’s account or data;
  • use automated means to scrape or extract information from the Services except through interfaces Perillo expressly provides for that purpose;
  • resell or provide FlowTrace to third parties as a hosted or managed service without Perillo’s permission;
  • use FlowTrace to develop a substantially similar competing product by extracting or reproducing protected elements of FlowTrace; or
  • use FlowTrace for fraudulent, deceptive, abusive, or malicious activity.

We may investigate suspected violations and take reasonable action to protect FlowTrace, our users, and third parties.

9. Fees and Subscriptions

Some FlowTrace features may be offered free of charge and others may require a paid subscription.

Prices, plan features, billing periods, and any applicable trial terms will be shown when you subscribe.

If you purchase a paid subscription, you authorize Perillo and its payment processor to charge your selected payment method for the amounts disclosed at checkout, including applicable taxes.

Automatic Renewal

Unless otherwise stated when you subscribe, paid subscriptions automatically renew for successive billing periods until canceled.

You authorize us to charge the applicable subscription fee at each renewal.

Cancellation

You may cancel a paid subscription through your account settings or another cancellation method we make available.

Unless otherwise stated or required by law, cancellation takes effect at the end of your then-current paid billing period, and you may continue using the applicable paid features until that time.

Refunds

Except where required by applicable law or expressly stated by Perillo, payments are non-refundable and we do not provide credits or refunds for partially used billing periods.

Price Changes

We may change subscription pricing. Where required by law, we will provide advance notice before a price change applies to your subscription.

If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

Taxes

Fees do not include taxes unless expressly stated otherwise. You are responsible for applicable sales, use, value-added, or similar taxes other than taxes imposed on Perillo’s income.

10. Privacy

Our Privacy Policy explains how Perillo collects, uses, discloses, and retains personal information in connection with FlowTrace.

By using FlowTrace, you acknowledge that you have reviewed the Privacy Policy.

11. Suspension and Termination

These Terms remain in effect while you use FlowTrace.

You may stop using FlowTrace at any time. You may delete your account using the functionality Perillo provides or by contacting us at support@perillo.ai.

We may suspend or terminate your access to FlowTrace if:

  • you materially violate these Terms;
  • your use presents a security, legal, or operational risk;
  • we reasonably believe your use is fraudulent or abusive;
  • payment for a paid service remains overdue;
  • we are required to do so by law; or
  • continued provision of FlowTrace to you could expose Perillo or another person to material harm or liability.

Where reasonably practicable, we may provide notice or an opportunity to remedy a violation before termination.

We may also discontinue some or all of FlowTrace.

If we discontinue a paid service before the end of a prepaid subscription period for reasons unrelated to your breach of these Terms, we will provide any refund required by applicable law and may provide a prorated refund for the unused portion.

When these Terms terminate, your right to use the Software and Services ends.

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, disclaimers, limitations of liability, indemnification, disputes, and miscellaneous terms.

12. Changes and Availability

We may modify FlowTrace, add or remove functionality, impose usage limits, or discontinue features.

FlowTrace may occasionally be unavailable because of maintenance, failures, third-party services, security incidents, or circumstances outside our control.

We do not guarantee that every feature will always be available or that FlowTrace will operate without interruption.

We may update these Terms from time to time.

If we make material changes, we will provide notice where required by applicable law. We will also update the “Last Updated” date at the top of these Terms.

Unless otherwise stated, updated Terms become effective when posted or on the later effective date stated in the notice.

Your continued use of FlowTrace after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

If you do not agree to revised Terms, you should stop using FlowTrace and cancel your account.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWTRACE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

PERILLO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PERILLO DOES NOT WARRANT THAT:

  • FLOWTRACE WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE;
  • DEFECTS WILL ALWAYS BE CORRECTED;
  • FLOWTRACE WILL IDENTIFY EVERY RELEVANT CODE PATH, DEPENDENCY, RISK, OR STRUCTURAL IMPACT;
  • OUTPUT WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR PURPOSE; OR
  • FLOWTRACE WILL MEET YOUR PARTICULAR REQUIREMENTS.

YOU USE FLOWTRACE AND RELY ON OUTPUT AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES. TO THE EXTENT SUCH LAWS APPLY TO YOU, SOME OF THESE DISCLAIMERS MAY NOT APPLY.

NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERILLO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO FLOWTRACE OR THESE TERMS.

THIS INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, AS WELL AS DAMAGES RESULTING FROM SOFTWARE ERRORS, SERVICE INTERRUPTION, OR RELIANCE ON OUTPUT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERILLO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO FLOWTRACE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO PERILLO FOR FLOWTRACE DURING THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF PERILLO HAS BEEN ADVISED THAT DAMAGES ARE POSSIBLE.

THE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Perillo and its directors, officers, employees, and affiliates from third-party claims, damages, liabilities, and reasonable costs arising from:

  • Your Code, including a claim that you lacked the right to authorize Perillo to process it;
  • your material violation of these Terms;
  • your violation of applicable law; or
  • your infringement or violation of another person’s rights.

Perillo will provide reasonable notice of a covered claim and reasonable cooperation in its defense.

You may not settle a claim in a manner that imposes liability, an admission, or a continuing obligation on Perillo without Perillo’s written consent.

16. Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or FlowTrace are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Subject to any dispute-resolution procedure required by applicable law, the state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising out of or relating to these Terms or FlowTrace, and you and Perillo consent to personal jurisdiction in those courts.

Nothing in these Terms deprives you of mandatory consumer rights that apply under the laws of your place of residence.

17. Electronic Communications

By using FlowTrace or communicating with us electronically, you consent to receive notices and communications electronically, including through email, account notices, or the Services.

Electronic notices satisfy any legal requirement that communications be provided in writing to the extent permitted by applicable law.

18. General Terms

Entire Agreement

These Terms and any additional terms expressly incorporated into them constitute the entire agreement between you and Perillo concerning FlowTrace and supersede prior agreements concerning the same subject matter.

Assignment

You may not assign or transfer these Terms without Perillo’s prior written consent.

Perillo may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of its relevant assets.

Severability

If a provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Waiver

A failure to enforce a provision of these Terms is not a waiver of the right to enforce it later.

No Agency

These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between you and Perillo.

No Third-Party Beneficiaries

Except where these Terms expressly provide otherwise, they do not create rights for third parties.
